These vendors build the secure online spaces where companies put sensitive documents so that named outside parties can review them without those files ever landing on someone's laptop or in an email thread. In practice that means granular permissions on who can see, print, download or screenshot each file, watermarking, expiry dates on access, activity logs showing exactly who opened what and for how long, and Q&A workflows that keep questions and answers attached to the right documents. When it's working, a deal team can open a room to a buyer's advisors, revoke access instantly if talks fall through, and produce a full audit trail afterwards without anyone having chased a spreadsheet or a shared drive link.

The trigger is usually a specific transaction with a deadline attached: a company is being sold or raising capital and needs to hand over financials, contracts and IP to bidders it doesn't fully trust yet; a board is preparing for litigation or an audit and needs to control who sees privileged material; a private equity firm is running diligence across several targets at once and needs each one walled off from the others. Generic file sharing and shared drives don't hold up here — there's no way to prove who accessed what, no way to pull a document back once it's downloaded, and no structured way to manage the hundreds of questions that come in from multiple bidding parties in parallel.

Most providers solve the core problem the same way — encrypted storage, permissioned access, watermarking, audit logs — so the differences that actually matter show up in the details around that core. Some are built and priced for one-off M&A deals with per-project pricing and white-glove setup support; others are aimed at firms running rooms continuously, with flat subscription pricing and self-serve setup. Some specialise in the compliance and security certifications that regulated industries or government-adjacent deals demand, others lean on Q&A and workflow tooling built specifically for deal teams managing dozens of bidders, and a few focus on ease of use for smaller businesses running their first and only data room.

When comparing them, look at how pricing scales — per page, per user, per GB, or flat fee — since a badly-chosen model can get expensive fast on a large diligence exercise. Check which security certifications they actually hold rather than claim, how good their audit and reporting output is when you need to hand it to a regulator or a court, how their Q&A and bulk upload tools handle a large, messy document set, and what support looks like at 11pm the night before a bid deadline.
